§ 1. General Provisions

  1. These Terms of Service govern the provision of consulting services by Orbit Global Logistics BV to its clients. They form an integral part of any agreement concluded between the parties.
  2. The subject of the agreement is the provision of strategic consulting services in the field of logistics, supply chain management, and customs, as detailed in a specific project proposal or statement of work.
  3. Acceptance of a project proposal by the Client constitutes acceptance of these Terms. Any deviation from these terms must be agreed upon in writing.
  4. These Regulations are made available to the User free of charge via the Website in a form that allows for their acquisition, reproduction, and recording.

§ 2. Definitions

  • Service Provider – Orbit Global Logistics BV, the entity providing the consulting services.
  • Client – The business entity or individual entering into an agreement with the Service Provider for the provision of Services.
  • Agreement – The formal contract or accepted proposal outlining the scope, timeline, and fees for the Services.
  • Services – All consulting, analytical, and advisory activities performed by the Service Provider for the Client.
  • Terms – This document, the Terms of Service.

§ 3. Type and Scope of Services Provided

  1. The Service Provider offers specialized consulting services, including but not limited to, supply chain analysis, route optimization, warehouse auditing, and customs compliance advisory. The detailed scope of Services for each Client is defined in the individual Agreement.
  2. Services are provided based on the data and information supplied by the Client. The Client is responsible for the accuracy and completeness of this information.
  3. The Service Provider commits to performing the Services with due professional care, in accordance with best industry practices and the terms of the Agreement.
  4. The results of the Services, including reports, analyses, and recommendations, are for the exclusive use of the Client and are confidential.

§ 4. Confidentiality

  1. Both parties agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the term of the Agreement. This includes business processes, financial data, and strategic plans.
  2. This obligation of confidentiality shall survive the termination of the Agreement. Information may only be disclosed as required by law.
  3. The Service Provider will ensure that its employees and subcontractors are bound by similar confidentiality obligations.

§ 5. Rights and Obligations of the Client

  1. The Client is obligated to provide the Service Provider with all necessary information, data, and access required for the proper performance of the Services.
  2. The Client is obligated to make timely payments for the Services rendered, in accordance with the payment schedule specified in the Agreement.
  3. The Client retains all intellectual property rights to its pre-existing materials. The Client grants the Service Provider a non-exclusive, royalty-free license to use these materials solely for the purpose of providing the Services.
  4. The Client agrees not to use the results of the Services for any illegal or unethical purposes.
  5. The Client must designate a primary contact person to facilitate communication and decision-making throughout the project.

§ 6. Final Provisions

  1. Any disputes arising from the Agreement or these Terms shall be governed by the laws of Belgium and subject to the exclusive jurisdiction of the courts of Antwerp.
  2. The Service Provider reserves the right to amend these Terms. Clients will be notified of any significant changes.
  3. If any provision of these Terms is found to be invalid, the remaining provisions shall remain in full force and effect.
